Terms of Service Effective date: 19.01.26 Last updated: 19.01.26 These Terms of Service (“Terms”) govern your access to and use of the Accountly website (accountly.cy) and the Accountly software platform (accountly-app.com) (together, the “Service”) operated by Accountly LTD (“Accountly”, “we”, “us”). By creating an account, accessing, or using the Service, you agree to these Terms. 1. The Service Accountly provides software tools to support invoicing and accounting workflows for Cyprus businesses and accountants. The Service may include different roles and views, including “Business Owner” and “Accountant”. 2. Eligibility & Account Registration You must: -provide accurate and complete information, -keep your login credentials secure, and -be responsible for all activity under your account. During sign-up you may select your role (e.g., Business Owner or Accountant). Role-based permissions and features may differ. 3. Acceptable Use You agree not to: misuse the Service, attempt unauthorized access, or probe/scan for vulnerabilities, interfere with or disrupt the Service, upload malicious code, or use the Service in violation of applicable law. We may suspend or terminate access if we reasonably believe you have violated these Terms. 4. Customer Data “Customer Data” means any content you upload or generate in the Service (including invoices, receipts, documents, and transaction records). You retain ownership of your Customer Data. You grant Accountly a limited right to host, process, and display Customer Data solely to provide and improve the Service, maintain security, and comply with legal obligations. 5. Accountant Portal & Sharing If you are a Business Owner, you may invite or grant access to an Accountant. If you are an Accountant, you may manage multiple client workspaces where you have been granted access by those clients. You are responsible for ensuring you have the necessary permissions to share data with other users (including accountants) and for controlling access within your workspace. 6. Plans, Billing & Payments Paid plans (if applicable) are billed in advance on a recurring basis (monthly or annually) as displayed in the Service. Payments are processed by Stripe. We do not store full payment card details on our servers. You authorize us (and Stripe) to charge the payment method on file according to your chosen plan. Taxes may apply depending on your jurisdiction. 7. Changes, Updates & Availability We may modify or update the Service over time, including adding, removing, or changing features. We aim to provide reliable availability but do not guarantee uninterrupted access. 8. Support Support channels and response times (if any) may be described on the website or in-app. We may change support availability at any time. 9. No Tax or Legal Advice Accountly provides software tools only. We do not provide tax, legal, or accounting advice. You remain responsible for verifying accuracy, compliance, filings, and meeting deadlines. 10. Disclaimers The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. 11. Limitation of Liability To the maximum extent permitted by law, Accountly will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for claims relating to the Service is limited to the amount you paid to Accountly for the Service in the 12 months before the event giving rise to the claim (or, if you have not paid, €100). 12. Termination You may stop using the Service at any time. We may suspend or terminate your access for violations of these Terms, security reasons, or legal compliance. After termination, we may retain Customer Data for a limited period to allow export, unless legally required to retain longer or unless you request deletion where applicable. Details are described in our Privacy Policy. 13. Changes to These Terms We may update these Terms. If changes are material, we will provide notice (e.g., in-app or via email). Continued use after the effective date means you accept the updated Terms. 14. Governing Law These Terms are governed by the laws of Cyprus, and disputes shall be subject to the competent courts of Cyprus, unless mandatory consumer protection laws apply. 15.
